This Software License Agreement ("Agreement") is between Rivenna LLC, 30 N Gould St Ste R, Sheridan, WY 82801 ("Licensor") and the individual or entity that purchased LLM Killswitch & Spend Guard ("Licensee"). By downloading or using the Software, you agree to these terms.

1. Grant of License

Subject to your compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable, commercial-use license to:

  • Deploy the Software (the Cloudflare Worker source code) within your own Cloudflare account(s)
  • Use the Software across your own projects and internal applications
  • Modify the source code for your own private use

2. Permitted Uses

  • Deploy on any number of Cloudflare accounts that you own or control
  • Use commercially to protect your own OpenAI and Anthropic API spend
  • Modify for private, internal use

3. Restrictions

You may not:

  • Resell, sublicense, or redistribute the source code — in original or modified form — as a standalone product or competing tool
  • Offer the Software as a hosted service to third parties (SaaS, API proxy service, etc.) where others access its functionality without a separate license
  • Remove or alter any copyright notices or attributions in the source code
  • Transfer this license to another individual or entity

4. Ownership

The Software and all intellectual property rights remain with Rivenna LLC. This Agreement grants you a license to use the Software — it does not transfer ownership.

5. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT ERROR.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIVENNA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE LICENSE.

7. Termination

This license terminates automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.

8. Governing Law

This Agreement is governed by the laws of the State of Wyoming.
